Terms of Service

These Terms of Service ("Terms") govern your access to and use of the GrepForge Solutions Inc. websites at grepforge.com and tickforge.app, the TickForge desktop application, and any related services (collectively, the "Services").

The Services are provided by GrepForge Solutions Inc. ("GrepForge", "we", "us"), a company incorporated in British Columbia, Canada.

By using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least the age of majority in your jurisdiction (typically 18) to enter into these Terms. By using the Services, you represent that you are.

2. Accounts

The TickForge subscription is billed and managed on tickforge.app. Account creation, password reset, and billing-portal access happen there. You are responsible for keeping your account credentials confidential and for activity that occurs under your account.

There are no user accounts on grepforge.com itself. This site is informational and contains GrepForge's legal documents and contact information.

3. The TickForge subscription

TickForge is sold as a subscription with recurring billing handled by our third-party payment processor. The subscription terms displayed on tickforge.app at checkout are incorporated into these Terms by reference, including billing frequency, pricing, and the auto-renewal mechanism.

You may cancel a TickForge subscription at any time from the customer portal on tickforge.app. Cancellation takes effect immediately and entitles you to a prorated refund of the unused portion of the current billing period, per our Refund Policy.

4. Acceptable use

You agree not to:

• Reverse-engineer, decompile, or attempt to extract the source code of the TickForge application, except to the extent permitted by applicable law.
• Use the Services to violate any law or any third party's rights.
• Use the Services to send spam, harassment, or malicious traffic.
• Probe, scan, or test the vulnerability of the Services, or breach any security or authentication measures, without prior written consent.

5. Intellectual property

GrepForge owns the TickForge software and all related materials, including the websites, branding, and documentation. We grant you a limited, non-exclusive, non-transferable, revocable license to use the TickForge application during the term of your active subscription, solely for your personal or internal business use.

Open-source components included in TickForge are licensed under their respective licenses; nothing here overrides those.

6. Termination

You may stop using the Services at any time. We may suspend or terminate your access to the Services if you materially breach these Terms, without notice if your conduct creates a risk to GrepForge or other users.

On termination, your license to use TickForge ends and the rights you have under these Terms (other than payment obligations already accrued, and the limitations in Sections 7, 8, 9, 10, 11) cease.

7. Trading risk, no financial advice, and how orders are placed

TickForge is software, not a broker or an adviser. GrepForge is not a broker-dealer, investment dealer, investment adviser, or financial adviser, is not a member of any securities exchange or self-regulatory organization, and does not hold customer funds or securities.

No financial advice. Nothing in the TickForge application, the websites, the documentation, or any market data displayed through them is investment advice, a recommendation, or a solicitation to buy, sell, or hold any security or financial instrument. Any trading or investment decision you make is solely your own responsibility. If you need advice, consult a licensed professional.

How orders are placed. TickForge is an interface to your own Interactive Brokers account. When you enter, modify, or cancel an order in TickForge, the application transmits those instructions to Interactive Brokers' systems. Interactive Brokers — your broker — receives the instructions and places, routes, and executes the resulting orders. GrepForge does not place, route, or execute orders, does not send orders to any exchange, and is not a party to the resulting trades. Your relationship for order handling, execution, margin, and settlement is with Interactive Brokers under your agreement with them.

We are not responsible for execution or for Interactive Brokers. To the maximum extent permitted by law, GrepForge is not responsible for order execution, fills, partial fills, rejections, cancellations, price, slippage, latency, queue position, or for any act, omission, outage, or error of Interactive Brokers, any exchange, or any market-data provider.

Market data. Market data shown in TickForge is provided by Interactive Brokers and other third parties and is for your personal, non-commercial use only. We do not guarantee its accuracy, completeness, timeliness, or correct sequencing. You may not store, redistribute, resell, retransmit, or publicly display that data, and your use of it is subject to the terms of Interactive Brokers and the relevant exchanges and data providers.

Trading involves substantial risk. Trading securities, futures, options, and other instruments carries a high level of risk and is not suitable for everyone. You can lose some or all of your capital, and in some products you can lose more than your initial investment. Past performance does not guarantee future results. Only trade with money you can afford to lose.

8. Disclaimers

The Services are provided "as is" and "as available" without warranty of any kind, express or implied, to the maximum extent permitted by law, including any warranty of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Services will be uninterrupted or error-free.

9. Limitation of liability

To the maximum extent permitted by law, GrepForge's total aggregate liability arising out of or relating to these Terms or the Services is limited to the greater of (a) the amounts you paid GrepForge in the twelve months preceding the event giving rise to the claim, or (b) one hundred Canadian dollars (CAD $100).

In no event will GrepForge be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, or for trading or investment losses, whether or not GrepForge has been advised of the possibility of such damages.

Some jurisdictions do not allow these limitations. To the extent a jurisdiction does not permit any portion of this section, that portion will be enforced to the maximum extent permitted by applicable law and the remainder will continue in effect.

10. Indemnification

You agree to indemnify and hold harmless GrepForge from any claims, damages, liabilities, and expenses arising from your breach of these Terms or your misuse of the Services.

11. Governing law and dispute resolution

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-law rules.

Any dispute arising under these Terms will be resolved in the courts located in British Columbia, Canada, except that either party may seek injunctive relief in any court of competent jurisdiction for the protection of its intellectual property.

12. Changes to these Terms

We may update these Terms from time to time. When we do, the updated version is published at this URL with a new effective date and an incremented version number. For material changes that affect existing subscribers, we will notify by email where appropriate.

The historical record of prior versions is retained internally; a prior version is available on request.

Continued use of the Services after a change takes effect constitutes acceptance of the updated Terms.
